FRANKFORT, Ky. (KT) – Secretary of State Michael Adams is reminding Kentucky business owners they can save a stamp or make a trip to Frankfort by filing their business reinstatements online at the improved Fast Track site.

Business owners who have forgotten to file their annual reports will no longer be required to reinstate their businesses by mail or in person. The new online feature communicates directly with both the Department of Revenue and the Office of Unemployment Insurance to allow businesses to complete the reinstatement process more quickly online.

“As Kentucky’s Chief Business Official, I have worked to make doing business as easy as possible,” said Adams.  “The ability to file reinstatements online will save business owners valuable time and money.”

In addition, the upgraded website also allows businesses to file their annual reports, form new LLC’s, file assumed names, and much more without printing any paper, stuffing envelopes, or losing time driving to the mailbox or all the way to Frankfort.

All entities transacting business in Kentucky must file an annual report by June 30 of each year, after the year they are formed.  Failure to file the annual report by that deadline, will result in the entity being listed in bad standing with this office, and could lead to administrative dissolution or revocation of authority to do business in Kentucky.

Business entities operating in the state must also file documentation of certain changes.  Every entity formed or doing business in Kentucky is required by law to maintain a principal office, which can be either inside or outside the state.  All correspondence from this office will be mailed to an entity's principal office. 

Each entity must also designate a registered agent and registered office in Kentucky upon whom a process (such as summons and subpoenas) may be served.  Service on the registered agent is deemed to be service on the entity, regardless of whether the registered agent forwards the notice to the entity.

Any time an entity changes its principal office, registered agent or registered office, it must file a statement of change with the Secretary of State’s office.
